TERMS AND CONDITIONS LIABILITY: AudienceRent represents and warrants that it will comply with all laws, rules and regulations relating to its business and operations and that no actions taken by AudienceRent as contemplated herein will infringe upon or violate the rights of any third parties. AudienceRent hereby agrees to indemnify and hold the listed Audience Owner harmless from and against any and all third party claims, actions, or causes of action resulting in losses, damages, liabilities, expenses (including reasonable attorneys’ fees) and any other legal liability arising out of or in connection with (a) any breach by AudienceRent of its representations, warranties and agreements contained herein, and/or (b) AudienceRent’s business and operations.
TERM AND TERMINATION: This Agreement will become effective upon approval by AudienceRent LLC and will continue in force unless written notice of cancellation is received from either party, which may be given for any reason or no reason. Cancellation of this Agreement will be effective immediately and the Audience owners audience will be removed from the AudienceRent marketplace. Advertisers who are currently still renting the Audience owners audience will be permitted to finish out their rental term but will not be permitted to renew.
OTHER EVENTS OF TERMINATION: In addition to the foregoing, this Agreement will immediately terminate upon AudienceRent ceasing to do business or to do business relevant hereunder or AudienceRent no longer be able to operate due to policy changes from Facebook/Meta.
CONSEQUENCES OF TERMINATION: In the event of a termination, the indemnity and payment provisions shall survive. As a result, AudienceRent LLC will continue to pay the Audience Owner for rentals effective prior to the termination pursuant to the terms above until all such rentals are terminated.
GENERAL PROVISIONS: This agreement will be governed by and construed under the laws of the State of Oklahoma, without regard to conflicts of law provisions. The parties agree that the State of Oklahoma and federal courts will have jurisdiction over any claim arising out of this agreement, and each party consents to the exclusive jurisdiction of such courts. Should any provision of this agreement be held void, invalid, unenforceable or illegal by a court of law, the remaining provisions will remain valid and enforceable. Failure to enforce any provision of this agreement will not constitute or be construed as a waiver of such provision or of the right to enforce such provision. The headings and captions contained in this agreement are inserted for convenience only and do not constitute a part of this agreement.
MUTUAL COOPERATION: We agree to use our best efforts to fulfill and exceed your expectation on the deliverables listed above. You agree to aid us in doing so by communicating to us details pertaining to the rental of your Audience.
